You will not impersonate any person or entity or misrepresent your affiliation

3. Professional Conduct

When engaging with our services and partners, you agree to:

Maintain professional and respectful communications at all times
Honor commitments and agreements made during consultations
Treat farming communities and cooperatives with respect and cultural sensitivity
Protect confidential information shared by us or partner organizations
Refrain from making unrealistic promises or guarantees to producers
Conduct due diligence before entering into commercial relationships

4. Prohibited Conduct

You expressly agree not to:

Use our services for any illegal or unauthorized purpose
Violate any laws in your jurisdiction or in Cambodia
Infringe the rights of Mondulkiri Leaf or any third party
Transmit any harmful or malicious code or content
Attempt to circumvent security measures or access unauthorized areas
Harass, abuse, or harm any person or group
Collect personal information without consent
Use our services to compete with us or create derivative services
Engage in predatory or exploitative practices with farming communities

5. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Mondulkiri Leaf, its officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your violation of these Terms and Conditions
Your violation of any applicable laws or regulations
Your infringement of any third-party rights
Any misrepresentation or breach of warranties you provide
Your business dealings with cooperatives or suppliers we introduce
Any content or information you submit or transmit

Disclaimers and Limitations of Liability

1. Service Disclaimer

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We specifically disclaim:

Any warranty of merchantability or fitness for a particular purpose
Guarantees regarding specific outcomes or results from our services
Warranties about the quality, availability, or characteristics of coffee lots
Guarantees about the success of business relationships we facilitate
Warranties regarding uninterrupted or error-free service delivery

2. Third-Party Relationships

We act as facilitators and consultants, not as direct parties to your business transactions:

We do not control the operations, quality standards, or business practices of cooperatives
We are not responsible for the performance or non-performance of third-party suppliers
We do not guarantee the availability of specific coffee volumes or quality grades
We are not liable for disputes between you and producers or suppliers we introduce
Commercial agreements are between you and the cooperative or supplier directly
You assume all risks associated with sourcing relationships you establish

3. Limitation of Liability

To the maximum extent permitted by law, Mondulkiri Leaf shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from unauthorized access to or use of our systems
Damages from errors, omissions, interruptions, or delays in service
Damages arising from third-party conduct or content
Damages from force majeure events or circumstances beyond our control

In no event shall our total liability exceed the fees you have paid for services in the six months preceding the claim, or USD 500, whichever is greater.

4. No Professional Advice

Our services are consultative and facilitative in nature:

We do not provide legal, financial, or regulatory compliance advice
Information shared should not be construed as professional advice
You should consult appropriate professionals for legal and financial matters
We are not responsible for your interpretation or application of information we provide
Import/export compliance and regulatory matters are your responsibility

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, natural disasters, epidemics, labor disputes, equipment failures, or telecommunications outages.

You agree that any legal action or proceeding arising from or related to these Terms and Conditions or your use of our services shall be brought exclusively in the courts of Phnom Penh, Cambodia. You consent to the personal jurisdiction of such courts and waive any objection to venue.

If you are accessing our services from outside Cambodia, you are responsible for compliance with local laws in your jurisdiction.

Dispute Resolution

1. Informal Resolution

Before pursuing formal legal action, we encourage parties to attempt resolution through good-faith negotiation. Many disputes can be resolved through direct communication and mutual understanding. Please contact us with your concerns, and we will work toward a fair resolution.

2. Mediation

If informal resolution is unsuccessful, parties may agree to mediation before a neutral third party. Mediation costs shall be shared equally unless otherwise agreed. Mediation proceedings shall be confidential.

These Terms and Conditions, together with our Privacy Policy and any service agreements or statements of work, constitute the entire agreement between you and Mondulkiri Leaf regarding the subject matter herein and supersede all prior or contemporaneous communications and proposals.

5. Headings

Section headings in these Terms and Conditions are for convenience only and shall not govern the meaning or interpretation of any provision.

6. Survival

Provisions that by their nature should survive termination shall survive, including but not limited to warranty disclaimers, limitations of liability, indemnification obligations, and dispute resolution procedures.
